1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer" or "you") and CVB Technical Solutions Limited ("CVB", "we", "our", or "us"), a company registered in England and Wales under company number 08262418.
By placing an order, engaging our services, or using our website, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
CVB Technical Solutions specialises in professional signage solutions, display advertising systems, manufacturing, installation, and technical engineering services throughout the United Kingdom.
2. Services and Scope
CVB Technical Solutions provides comprehensive signage and display solutions including:
- Design, manufacture, and supply of signage and display solutions
- Professional installation and maintenance services
- Technical consultancy and project management
- Printing, posting, and advertising services
- Bespoke manufacturing and fabrication services
- Site surveys, risk assessments, and compliance reporting
All services are provided in accordance with relevant British Standards, health and safety regulations, and industry best practices. Detailed specifications will be provided in individual quotations.
3. Quotations and Order Acceptance
Quotations: All quotations are valid for 30 days from the date issued unless otherwise specified. Quotations are based on information provided at the time and may be subject to revision following site surveys or changes in requirements.
Order Acceptance: No contract exists until we provide written acceptance of your order. We reserve the right to decline any order at our discretion.
Pricing: All prices are quoted exclusive of VAT, delivery, installation, and any permits/licences unless specifically stated. Prices may be adjusted for material cost fluctuations on orders with delivery periods exceeding 8 weeks.
Variations: Any changes to agreed specifications must be confirmed in writing and may result in additional charges and extended delivery times.
4. Payment Terms and Conditions
Payment Terms:
- Standard payment terms: 30 days from invoice date (net monthly account customers)
- New customers: Payment on delivery or pro-forma invoice
- Large orders (>£5,000): 50% deposit required, balance on completion
- Bespoke manufacturing: Progressive payments may be required
Late Payments:
- Interest charges apply at 8% above Bank of England base rate (Late Payment Act 1998)
- Fixed compensation charges: £40 (debt <£1,000), £70 (£1,000-£9,999), £100 (£10,000+)
- Debt recovery costs may be charged to the customer
- We reserve the right to suspend services and retain title until payment
5. Delivery and Installation
Delivery dates are estimates and not guaranteed unless specifically agreed in writing. We will use reasonable efforts to meet agreed delivery schedules.
Installation services are subject to site conditions and access requirements. Additional charges may apply for unforeseen complications.
6. Warranties and Defects
Manufacturing Warranty:
- 12-month warranty against manufacturing defects from delivery/installation date
- 24-month warranty on structural elements (frames, supports, foundations)
- LED components: Manufacturer's warranty (typically 3-5 years)
- Digital displays: Manufacturer's warranty terms apply
Warranty Exclusions:
- Normal wear and tear, fading, or weathering
- Damage from vandalism, accidents, or misuse
- Modifications or repairs by third parties
- Failure to follow maintenance recommendations
- Force majeure events (storms, flooding, etc.)
Remedies:
Our sole obligation for warranty claims is repair or replacement of defective items at our discretion. Warranty claims must be reported promptly and in writing with supporting evidence.
7. Intellectual Property
All designs, drawings, and specifications remain the property of CVB Technical Solutions unless specifically transferred in writing.
Customers are responsible for ensuring they have appropriate rights to use any logos, images, or copyrighted materials provided to us.
8. Health and Safety
All work is carried out in accordance with current health and safety regulations. Customers must provide safe access and working conditions for our personnel.
We maintain appropriate public and employer's liability insurance. Copies of certificates are available upon request.
9. Cancellation
Orders may be cancelled by mutual agreement. Cancellation charges may apply for work commenced or materials ordered.
We reserve the right to cancel orders in exceptional circumstances with reasonable notice.
10. Limitation of Liability
Financial Limits:
- Total liability limited to the contract value or £100,000, whichever is lower
- Liability per incident limited to £50,000
- Claims must be notified within 12 months of discovery
Excluded Losses:
We exclude liability for:
- Loss of profits, revenue, or business opportunities
- Loss of data, goodwill, or reputation
- Indirect, consequential, or special damages
- Business interruption or loss of use
Exceptions:
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or breaches that cannot be excluded by law.
11. Governing Law
These terms are governed by English law and subject to the exclusive jurisdiction of the English courts.
13. Disputes and Jurisdiction
Dispute Resolution: We encourage resolution of disputes through direct negotiation. Formal disputes may be referred to mediation through the Centre for Effective Dispute Resolution (CEDR).
Jurisdiction: These Terms are governed by English law. The English courts have exclusive jurisdiction over any disputes, except we may bring proceedings in other jurisdictions to protect our intellectual property rights.
Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
